Federal Reserve Board announces approval of application by Isabella Bank Corporation

For release at 4:30 p.m. EDT

The Federal Reserve Board officially announced on Monday its formal approval of an application submitted by Isabella Bank Corporation, a prominent financial institution headquartered in Mount Pleasant, Michigan. Under the terms of the approved transaction, Isabella Bank Corporation will acquire Grand River Commerce, Inc., a holding company based in Grandville, Michigan. Through this strategic acquisition of the parent company, Isabella Bank Corporation will also indirectly acquire Grand River Bank, the wholly owned banking subsidiary of Grand River Commerce, Inc., which is similarly located in Grandville.

In addition to approving the holding company acquisition, the Federal Reserve Board granted regulatory clearance for a subsequent corporate restructuring involving the banking subsidiaries. Specifically, the Board gave its approval for Isabella Bank, the primary banking subsidiary of Isabella Bank Corporation based in Mount Pleasant, Michigan, to merge directly with Grand River Bank. As part of this planned integration, Isabella Bank has been authorized to establish and operate official banking branches at all existing physical locations previously operated by Grand River Bank in the Grandville area and surrounding communities.

The regulatory announcement, issued late Monday afternoon at 4:30 p.m. EDT, marks a significant milestone in the ongoing consolidation and operational development of community banking networks within the state of Michigan. Regulatory applications of this nature undergo rigorous review by the Federal Reserve Board to ensure that proposed mergers and acquisitions comply with federal banking laws, maintain the safety and soundness of the participating financial institutions, and serve the convenience and needs of the communities to be served.

Isabella Bank Corporation, operating primarily out of its home base in Mount Pleasant, has long established its presence across central and mid-Michigan, offering a comprehensive range of retail and commercial banking services, wealth management, and lending products. By bringing Grand River Commerce, Inc. and Grand River Bank into its corporate fold, the organization extends its geographic footprint westward toward the Grand Rapids metropolitan area, where Grandville and its surrounding communities have experienced steady economic activity and community development.

Grand River Commerce, Inc. and its banking subsidiary have served their local customer base in Grandville and the broader West Michigan market by providing tailored financial services, small business loans, and personalized banking solutions. The integration of Grand River Bank into Isabella Bank means that customers of both institutions will eventually experience a unified banking structure, backed by the broader capital resources and lending capacity of the combined organization. Furthermore, the authorization to maintain and operate the existing Grand River Bank locations ensures that local account holders will retain physical access to familiar branch offices, experienced local personnel, and uninterrupted banking services during and after the transition.

The approval process required by the Federal Reserve involves evaluations under the Bank Holding Company Act and the Bank Merger Act. These statutes require the Board to consider the financial and managerial resources and future prospects of the companies and banks involved, as well as the convenience and needs of the communities to be served. Federal regulators also review the effectiveness of the institutions in combatting money laundering activities and assess records of performance under the Community Reinvestment Act, which encourages banks to help meet the credit needs of the communities in which they operate, including low- and moderate-income neighborhoods.

With the regulatory hurdles successfully cleared by the Federal Reserve Board’s decision on Monday afternoon, both Isabella Bank Corporation and Grand River Commerce, Inc. can now proceed toward the finalization of their corporate merger and operational consolidation plans. Leadership teams from both financial institutions will direct their focus toward executing the integration of data systems, aligning product offerings, and combining workforce operations to ensure a seamless transition for retail customers, commercial clients, and community stakeholders alike across the state of Michigan.
